Make® Academy Terms of Use


General

 

Celonis (“Celonis”) offers the Make (“Make”) suite of products (the “Make Products”).  The Make Academy Online Training Platform (the “Online Training Platform”) includes the online platform located at [https://academy.make.com/], along with all content and services offered by Make.  The Make Academy is hosted and owned by Celonis.  The terms and conditions set forth herein, along with any policies and procedures that may be published from time-to-time on the Training Platform (collectively, the "Terms"), shall govern Your participation in the Make Academy.  If You do not agree to the Terms, You may not access or participate in the Make Academy.  Celonis reserves the right, at its sole discretion, to modify these Terms at any time.  As used herein, “You” and “Your” refers to the individual participating in the Make Academy. 

Your Make Academy Account

You must be at least eighteen (18) years old or the age of majority in Your jurisdiction to access and participate in the Make Academy.  You are responsible for maintaining the confidentiality and security of Your password and all information submitted by You in connection with Your Make Academy account (your “Make Account”), and You assume all liabilities and responsibilities for any and all activities that occur in connection with Your Make Account.  In order to register for a Make Account, You must provide personal information.  By providing Your personal information to Celonis, You consent to the collection, processing, storage and sharing of Your personal information by Celonis in accordance with the Celonis Privacy Notice for Make and these Terms.  Learning engagement data — such as course completion data and data relating to training track completion — may be collected and tracked by Celonis on both individual and aggregate levels.  Celonis reserves the right to refuse access to the Make Academy to anyone, at any time, without notice and for any reason.  Celonis will not be liable to You or to any third party for any claims or actions arising or resulting from Your use, visit, or participation in the Make Academy; for any modification, suspension, or termination of the Make Academy; or for termination of Your access to the Make Academy.

Terms for Use for the Make Academy

In connection with Your participation in the Make Academy, You will not (and You will not allow your users or any third party to):

  1. Share or transfer any certification, or any other similar credential, earned on the Online Training Platform for any purpose;

  2. Share, transfer, or otherwise disclose any solution to any Make Qualification for any personal gain or commercial advantage, or for any purpose other than educational instruction; or

  3. Falsely state or otherwise misrepresent information related to the use of the Online Training Platform, including Your learning progress or the number or types of certifications that You have earned through the Online Training Platform.

You further agree that the qualifications, digital credentials and certifications and all content related thereto are Celonis confidential and proprietary information (“Confidential Information”).  You are prohibited from disclosing, copying, or publishing Confidential Information, and You shall not use any Confidential Information for any purpose beyond the scope of these Terms.  Your confidentiality obligations shall survive the termination of these Terms.

Certifications

You may be able to obtain certain Make product-related credentials or certifications by meeting the requirements of an applicable Qualifications.  Participation in any such Qualification program is governed by these Terms.  

 

Upon successful completion of a Qualification, Celonis will grant You a personal, non-exclusive, non-transferable, revocable license to use the applicable Digital Credential and associated logo for the sole purpose of indicating that You meet the criteria for the applicable Qualification.  You may not use the Digital Credential in any way that: (i) may be construed to establish an affiliation between Celonis and any third party; or (ii) negatively impacts Celonis' reputation or goodwill.  Celonis retains all rights, title and interests in and to the Certifications.  Nothing herein shall be construed as granting any other rights to You beyond the rights specifically granted herein.

 

PLEASE NOTE: To obtain Digital Credentialsvia the Make Academy, you must have an account with Credly, Inc., our partner for certification management. Your Credly account is used to issue and track Your digital badges as You complete Your Certification Exams.  Upon completion of each Certification Exam, Celonis will share Your related information (name, email address, and exam-related data) with Credly for this purpose.  You can find the Credly data privacy notice here.  If You do not want this data to be shared with Credly, please do not take a Certification Exam.

 

Rights

Celonis hereby grants to You a revocable, non-exclusive, non-transferable, limited and personal right (without the right to authorize any third party) to use the Make Academy solely for Your own non-commercial, personal, professional, or educational purposes.  The Make Academy may contain third-party materials.

Celonis may use and disclose personal information such as Your name, information about Training Tracks and courses for which You have registered or completed, or information regarding associated Certification Exam results in order to administer and facilitate the Online Training Platform, and to evaluate the adoption of the Make products and services.

Neither these Terms nor Your participation in the Make Academy operate to transfer to You any Celonis or third-party intellectual property, and all right, title and interest in and to such intellectual property will remain solely with Celonis or the third party, as applicable.  Celonis, celonis.com, the Celonis logo, Make, make.com and the Make logo, along with all other trademarks, service marks, graphics and logos used in connection therewith, are the intellectual property of Celonis.  Other trademarks, service marks, graphics and logos used in connection with the Make Academy may be the intellectual property of third parties.  Except as specifically set forth in these Terms, Your participation in the Make Academy does not grant to You any right or license to reproduce or otherwise use any Celonis or third-party trademarks or other intellectual property.

Indemnification and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CELONIS, ITS AFFILIATES, SUBSIDIARIES, OFFICERS, AGENTS, PARTNERS, EMPLOYEES AND LICENSORS (THE “CELONIS ENTITIES”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY HOWEVER CAUSED AND, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, WHETHER OR NOT THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE CELONIS ENTITIES UNDER ANY THEORY OF LIABILITY EXCEED THE FEES PAID TO CELONIS, IF ANY, TO PARTICIPATE IN THE ONLINE TRAINING PLATFORM.

Applicable Law

The following applies if You access the Make Academy from the Americas:

New York law will govern these Terms without giving effect to any principles of conflicts of laws.  All claims, legal proceedings, or litigation arising in connection with the Make Academy will be brought solely in the federal or state courts located in New York City, New York, United States, and You consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.

The following applies if You access the Celonis Academy from anywhere else in the world:

The laws of England and Wales will govern these Terms without giving effect to any principles of conflicts of laws.  To the extent possible under applicable law, venue for all disputes in connection with these shall be London, England.
